1. TITLE

The name of the organisation shall be Pershore Choral.

2. OBJECT

The Objects of Pershore Choral shall be to educate and. entertain the public in the arts and sciences and in particular the art and science of music by the presentation of concerts and other activities.

3.MEMBERSHIP

The members of Pershore Choral shall be those persons who pay the annual subscription at the appropriate rate or rates as shall be determined by the Committee, the subscription being payable in advance, and who shall provide such evidence of musical ability as the Committee may require.

4. OFFICERS AND COMMITTEE

The management of Pershore Choral shall be in the hands of a Committee consisting of a Chairman, an Honorary Secretary, an Honorary Treasurer, a Musical Director, a Deputy Director/ Accompanist, a Librarian, and eight others with power to co-opt. The Officers and the other Committee members shall be elected by and out of Pershore Choral's members at the Annual General Meeting; they shall hold office for one year and be eligible for re-election.

There shall be an Honorary President whose roles shall be to advise and support the Committee in its work and manage the election of the chairman at the AGM. The Honorary President normally shall be chosen by the Committee from people of standing in the local community and who are committed to the Object of Pershore Choral as set forth above. The Honorary President shall be appointed in September, shall hold office for two years and shall be eligible for re-appointment.

5. MANAGEMENT

All the arrangements for the concerts and other events and the control of finance shall be in the hands of the Committee.  The Committee's elected officers shall be supported in the running of Pershore Choral by the other members of the Committee who shall undertake tasks such as the organisation of ticket sales, membership records, publicity and the co-ordination of fundraising.

6. FINANCE

(a) The financial year shall end on 31st December.

(b) A banking account shall be opened in the name of Pershore Choral and cheques shall be signed by the Honorary Treasurer and either the Chairman or the Honorary Secretary.

(c) The income and property of Pershore Choral whencesoever  derived shall be applied solely towards promoting the of Pershore Choral as set forth above and no portion thereof shall be paid or transferred either directly or indirectly to member or members of Pershore Choral except in payment of legitimate expenses incurred on behalf of Pershore Choral.

(d) In the event of the winding-up or dissolution of Pershore Choral any remaining assets after all liabilities have been discharged shall not be paid or transferred to any members of Pershore Choral but shall be transferred to a charitable organisation whose objects are similar to those Pershore Choral and whose rules preclude the distribution of income and assets among its members.

7. ANNUAL GENERAL MEETING

Within eight weeks of the commencement of the financial year the members shall be summoned to an Annual General Meeting of which at least fourteen days notice in writing shall have been given.

8.AUDITED ACCOUNTS

The financial accounts shall be audited or independently examined and be submitted to the members at the Annual General Meeting.

9.AMENDMENTS

The constitution may be amended by a two-thirds majority of the members present at an Annual or Special General Meeting, provided that fourteen days notice of the proposed amendment has been sent to all members and provided also that nothing herein contained shall authorise any amendment which shall have the effect of Pershore Choral ceasing to be a charity.
